The nominee will sign four (4) documents with the foreigner investor as follow:
- A Loan Agreement: acknowledges that the foreigner has lent the nominee the purchase price of the land or transferred funds to the nominee so that the nominee can purchase the property.
- A Right of Use Agreement: allows the foreigner to use the land, and establishes a foundation of basic property rights.
- A Statement Letter: where the nominee acknowledges or ratifies the foreigners loan and his intention to own the land.
- Power-of-Attorney (Surat Kuasa khusus): the nominee signs an irrevocable Power-of-Attorney giving the foreigner the complete authority to sell, mortgage, lease or otherwise manage the property. This document, in essence, transfers "ownership" of the property from the nominee back to the nominator (foreign investor). Although the nominee is on the deed, the nominator now has all the rights as if they were the true and actual owner on the deed. This allows the foreign investor to in essence "own" the property and do with it as they please; hold it long term as an investment to sell or exchange later, live there as "owner occupied", or rent/lease it out, or flip it for a quick profit depending on market conditions and value of course. If the principal wants the agent to have authority to conclude affairs after the principal's death, then prepare a will must be prepared that names the agent as the principal's executor.
- Alternative HAK PAKAI - The right extends for a defined period of 25 years, and can be renewed for another 20 years. Indonesian citizens and companies and foreigners and foreign companies may use Hak Pakai. The land title is given to the government and the expat is given a Hak Pakai certificate. This right cannot be transferred or sold to another unless explicitly noted in the agreement. Many expats use the Hak Pakai and argue that it gives them the same rights as an Indonesian citizen in terms of use and sale. It is further argued that the Hak Pakai certificate takes precedent over all other titles on the property.
- Hak Sewa (Right to Rent). This right allows a foreigner or Indonesian the right to rent land that is owned by another party for the purposes of building or residency. This right is not registered at the land office so there is no official certificate that accompanies it. The time period for this option is generally 25 years, and it can be renewed. The Indonesian owner of the land keeps the certificate and the expat keeps the original rental document and a photocopy of the land certificate. What can you do instead? The person who was nominated as Executor under the principal’s Last Will and Testament must take the Will to probate court. Once the judge has reviewed it, letters testamentary will be issued which authorize the Executor to complete the transaction on behalf of the deceased principal.
There is another way the principal could have avoided this situation. Instead of retaining ownership of the land and giving you power of attorney, the principal could have created a revocable grantor trust (often called a living trust). He would have then transferred land title into the trust, and specified that upon his disability or death you would take management authority as successor trustee. Under the terms of a trust, you would then have legally retained authority to sell the land whether the principal was alive or had died during the process.
